Terms & Conditions of Purchase – B2B Sales

In these Terms and Conditions of Purchase, the following definitions apply:
Company and Supplier refer to RFID General Public Trading PTY LTD -  ABN: 76686060846 | ACN 686060846 

Customer refers to the purchaser of the Goods (and Services, if applicable) who submits a Credit Application Form to the Company.

Goods means the items described in the Quotation or sales invoice issued by the Company.

GST refers to the Goods and Services Tax imposed in Australia under the A New Tax System (Goods and Services Tax) Act 1999.

Order means any written or verbal request made by the Customer to purchase Goods or Services from the Company.

Quotation means the written price and offer provided by the Company to the Customer.

Supply Agreement  refers to the agreement between the Company and Customer regarding the provision of Goods and Services.

Terms refers to these Terms and Conditions of Purchase, as outlined here.

Nothing in these Terms shall be interpreted in a way that excludes, restricts, or modifies any of the applicable laws or obligations that cannot be legally excluded, restricted, or modified under Australian law.

1. Orders & Acceptance
1.1 All orders are subject to written acceptance. We reserve the right to reject or cancel orders at our sole discretion.
1.2 Quotations are valid for 14 days unless stated otherwise and do not constitute a binding offer.

2. Pricing, Invoicing & Payment Terms
2.1 Prices are in AUD and exclusive of GST, shipping, and duties unless stated otherwise.
2.2 Invoicing occurs on dispatch or as agreed. Payment must be made in full before dispatch unless on approved credit terms.
2.3 Credit Terms are available to approved customers only. Standard payment terms are 30 days from invoice.
2.4 Credit Checks:
You consent to us conducting credit and reference checks.
We may adjust or revoke credit terms at any time.
2.5 Late Payments:
Interest may apply at 2% per month on overdue balances.
We may suspend delivery, withdraw credit, or charge recovery costs.
2.6 Disputed Invoices must be raised in writing within 7 business days.
2.7 No Offsetting: You may not deduct or set off payments unless agreed in writing.

3. Delivery, Risk & Title
3.1 Delivery dates are estimates. We are not liable for delays outside our control.
3.2 Risk transfers upon dispatch. Title transfers only upon full payment.

4. Returns & Warranty
4.1 Returns require written approval. Custom or special orders are non-returnable unless faulty.
4.2 We warrant products conform to specifications under normal use for 12 months from delivery.
4.3 All other warranties are excluded to the extent permitted by law.

5. Limitation of Liability
5.1 Our liability is limited to:
(a) the price paid for the affected goods, or
(b) repair or replacement, at our option.
5.2 We are not liable for:
Indirect or consequential loss
Loss of profit, business, or data
Third-party claims
5.3 You acknowledge this is a business-to-business transaction and that consumer law remedies do not apply.

6. Compliance & Use
6.1 You are responsible for complying with all applicable laws and standards regarding use and installation.
6.2 We do not warrant fitness for any particular purpose unless expressly stated.

7. Export Control & Trade Compliance
7.1 Compliance:
Both the Seller (RFID General Public Trading Pty Ltd) and the Customer must comply with Australian and New Zealand export laws and any relevant international regulations, including trade restrictions and sanctions.
7.2 Export & Re-export Restrictions:
The Customer agrees not to export, re-export, or transfer products in violation of any applicable laws, including restrictions on specific destinations or entities.
7.3 Permits & Licenses:
The Customer is responsible for obtaining any necessary import/export permits or licenses required in Australia, New Zealand, or other applicable jurisdictions. The Seller is not liable for any compliance issues or penalties.
7.4 Order Cancellation:
The Seller may cancel any order if there are concerns about export compliance, such as the Customer violating trade laws or shipping to restricted locations.

8. Intellectual Property & Licensing
8.1 All IP in our goods, branding, content, and software remains our property.
8.2 We grant you a non-exclusive, non-transferable, revocable license to use any embedded software or tools solely for internal business use.
8.3 You may not reproduce, reverse-engineer, or redistribute products or materials without written permission.

9. Confidentiality
9.1 You agree to keep confidential all pricing, designs, technical details, and business information disclosed by us.
9.2 This obligation survives termination of any agreement between us.

10. Force Majeure
We are not liable for delays or failures due to events beyond our control, including but not limited to natural disasters, supply chain issues, customs delays, or government restrictions.

11. Termination
We may suspend or terminate supply immediately in the event of:

  • 1.Payment default
  • 2.Breach of terms
  • 3.Export control concerns
  • 4.Insolvency

12. Governing Law & Jurisdiction
These Terms are governed by the laws of the State of Victoria, Australia. You agree to submit to the exclusive jurisdiction of the courts of Melbourne, Victoria.

13. Dispute Resolution & Arbitration
13.1 If a dispute arises out of or relates to these Terms, both parties must first attempt in good faith to resolve the dispute through direct negotiation.
13.2 If the dispute cannot be resolved within 14 days, it must be referred to mediation in Melbourne, Victoria, under the rules of the Resolution Institute.
13.3 If mediation fails, the dispute will be finally resolved by binding arbitration conducted in Melbourne in accordance with the Australian Centre for International Commercial Arbitration (ACICA) rules.
13.4 The arbitrator’s decision shall be final and binding, and judgment may be entered in any court having jurisdiction.

15.1 Privacy & Data Protection

Your personal information will only be used for order processing, service improvement, and legal compliance.
We will take reasonable steps to ensure the accuracy and security of your data.
15.2 Collection of Personal Information
We may collect personal information, such as your name, contact details, and payment information, to provide our services. By engaging with us, you consent to the collection and use of this data. You may access or update your information at any time.
15.3 Use of Personal Information
We may use your information to:
Process orders and provide services
Send promotional materials (if you opt-in)
Communicate regarding account management and legal obligations.
15.4 Data Security
We take measures to protect your data from unauthorized access, including:

15.7 Third-Party Services

15.8 RFID Products & Data Security
For RFID products, you agree to protect your systems from security risks, including changing default passwords, limiting physical access, and keeping software updated.
15.9 Data Retention
We will only retain personal data as long as necessary for our services or legal obligations. Once no longer needed, data will be securely disposed of or anonymized.
